Seller Services Agreement

This agreement contains the terms and conditions that govern your access to and use of the services through a particular account or accounts and is an agreement between you, or the business you represent, and Shopdibz Private Limited.

As used in this agreement, we, us, and Shopdibz means the Shopdibz company named in the applicable service terms. If there is any conflict between the General Terms and the applicable Service Terms and Program Policies, the General Terms govern and the applicable Service Terms prevail over the Program Policies.

To begin the enrollment process, you must complete registration for one or more services. Use of the services is limited to parties that can lawfully enter into and form contracts under applicable law. As part of the application, you must provide your legal name, address, phone number, email address, tax registration details, and any other information Shopdibz may request.

Fee details are described in the applicable Service Terms and Program Policies. You are responsible for all of your expenses in connection with this agreement unless the agreement or applicable Service Terms provide otherwise.

Shopdibz may require valid credit card information and valid bank account information in your name with a bank located within India and enabled for your account. You authorize Shopdibz to verify your information, obtain credit reports and credit authorizations, and charge your credit card or debit your bank account for sums payable by you.

In addition to charging sums to your credit card, Shopdibz may offset payable amounts against sums it owes you or invoice you directly. If erroneous or duplicate transactions are discovered, Shopdibz may seek reimbursement through future offsets, credit card charges, or other lawful means.

If Shopdibz reasonably concludes that your actions or performance may result in significant customer disputes, chargebacks, or similar claims, it may delay initiating payments otherwise due to you for up to ninety calendar days or until the relevant investigation is complete.

The term of this agreement starts on the date of completed registration and continues until terminated by either party. You may terminate use of any service immediately on notice to Shopdibz. Shopdibz may terminate for convenience with 30 days' notice or suspend or terminate immediately for material breach, deceptive, fraudulent, or illegal activity, or platform harm.

You grant Shopdibz, its affiliates, and service providers a royalty-free, non-exclusive, worldwide, limited sublicensable right and license during the term of this agreement, and thereafter only for archived materials, ongoing campaigns, legal compliance, dispute resolution, and records retention, to host, store, reproduce, display, publish, distribute, transmit, translate, localize, promote, advertise, edit, crop, resize, adapt, modify, animate, and create derivative works from Your Materials in connection with the services and the marketing, promotion, and advertising of Shopdibz, its marketplace, and related products or services across websites, apps, social platforms, paid media, email, and similar channels.

You represent, warrant, and covenant that you own or validly control all rights in Your Materials and have obtained all licenses, permissions, waivers, consents, and releases required from photographers, authors, models, performers, influencers, agencies, guardians, and other rights-holders for Shopdibz and its service providers to use Your Materials in the manner permitted by this agreement, including paid advertising, marketplace promotion, editing, animation, and AI-assisted derivative marketing production that does not falsely imply personal endorsement.

Each party represents that it has the right, power, and authority to enter into the agreement and will comply with all applicable laws, including tax, advertising, consumer protection, intellectual property, privacy, and digital personal data laws.

You agree to indemnify, defend, and hold harmless Shopdibz, its affiliates, officers, employees, contractors, service providers, and representatives against third-party claims, notices, investigations, losses, penalties, damages, costs, and expenses arising from your breach, your products, your sales channels, your taxes and duties, your non-compliance with applicable laws, or any allegation that Your Materials or their permitted use under this agreement infringe or violate copyright, trademark, moral rights, privacy rights, personality or publicity rights, likeness rights, endorsement rights, confidentiality obligations, or data protection obligations.

Shopdibz in turn agrees to defend and indemnify you against third-party claims arising from Shopdibz non-compliance with applicable laws or allegations that operation of a Shopdibz site infringes a third party's intellectual property rights.

The Shopdibz site and services are provided on an as-is basis. Shopdibz and its affiliates disclaim warranties to the maximum extent permitted by law, and liability is limited as described in the agreement, including exclusion of consequential and punitive damages except where restricted by applicable law.

Your use of services is subject to Shopdibz tax policies. You are responsible for collection and payment of Your Taxes, tax filings, audit responses, and accurate product tax code selection including HSN or SAC classification where applicable.

Shopdibz may use AI-assisted tools to edit, localize, classify, resize, crop, or animate seller content for permitted marketplace and marketing purposes, but Shopdibz may reject, limit, or remove any content where rights, consent, authenticity, safety, or legal compliance are uncertain. Sellers must not upload content for which AI-assisted adaptation, paid advertising use, or third-party platform distribution is prohibited by contract, law, or missing consent.

You must not provide content or instructions that would require Shopdibz to create deceptive synthetic media, false endorsements, face swaps, cloned voices, materially altered human likenesses, or AI-generated depictions of minors or other individuals without explicit written permission covering that exact use. Shopdibz may suspend campaigns or seller accounts immediately where such risk is identified.

During your use of the services, you may receive Confidential Information and customer personal data. You must use such information only as strictly necessary for participation in the services, keep it confidential, implement reasonable security safeguards, avoid unauthorized sharing or retention, assist with deletion or correction requests when required, and comply with applicable privacy and digital personal data laws, including lawful processing, notice, consent, retention, and breach-response obligations that apply to you as an independent business.

The agreement also addresses force majeure, independent contractor status, suggestions and feedback rights, modification notice periods, password security, governing law, arbitration venue in Thiruvananthapuram, notice methods, language precedence, severability, and the fact that the agreement supersedes prior understandings.

The agreement defines core terms including Affiliate, Shopdibz Associated Companies, Shopdibz Site, Business Days, Confidential Information, Content, Excluded Products, Intellectual Property Rights, Laws, Local Currency, Order Information, Person, Purchase Price, Sales Proceeds, Seller Panel, Service, Service Terms, Technology, Trademark, Your Account, Your Materials, Your Product, Your Sales Channels, Your Taxes, Your Trademarks, and Your Transaction.

The Selling on Shopdibz Service allows you to list products for sale directly via the Shopdibz site. These service terms are part of the Seller Services Agreement and apply specifically to your participation in Selling on Shopdibz.

S-1. Your Product Listings And Orders

You must provide accurate and complete Required Product Information for each product, promptly update it as necessary, comply with all applicable laws, avoid excluded products and prohibited materials, and state the origin state or country from which the item ships.

Shopdibz may list your products in applicable categories, promote them, restrict category access, and make public ratings or feedback relating to your products or seller performance. Shopdibz will provide Order Information for each of your transactions, and Sales Proceeds are paid only in accordance with Section S-5.

For seller-fulfilled products, you determine shipping and handling charges subject to Shopdibz functionality and policies. Shopdibz bears credit card fraud risk only in the limited circumstances described in Section S-1.4.

S-2. Sale, Refunds And Returns

You must source, sell, fulfill, ship, and deliver seller-fulfilled products in accordance with Order Information, these service terms, and all terms shown on the Shopdibz site at the time of order. You must package products in a commercially reasonable manner, ship each product on or before three days from the order date, retrieve Order Information at least once each business day, and provide shipment status and tracking details where available.

For all products sold through Shopdibz, you must accept and process returns, refunds, and adjustments in accordance with these service terms and the Shopdibz Refund Policies published at the time of the applicable order. Shopdibz may process customer payments and disbursements on your behalf, and you must reimburse Shopdibz for amounts paid where required.

S-3. Problems With Your Products

You are responsible for non-delivery, misdelivery, theft, non-conformity, defects, and recalls relating to your products, except to the extent responsibility is otherwise expressly assigned under the agreement. If Shopdibz receives a guarantee claim, dispute, or chargeback relating to one of your transactions, you may be required to reimburse Shopdibz for the amount paid to the customer and related fees if the matter is found to be your responsibility.

S-4. Compensation

You will pay Shopdibz the applicable fees during the term of the agreement, and all taxes or surcharges imposed on fees payable by you to Shopdibz are your responsibility.

S-5. Sales Proceeds And Refunds

Remittances for your transactions are made through the nodal account structure and related mechanisms described in the agreement. Shopdibz may maintain reserves to settle future claims of customers in the event of non-fulfillment or delivery issues. Settlement amounts are remitted to your bank account on the payment date for eligible transactions, less fees, taxes, refunds, reserves, and other deductions described in the agreement.

S-6 And S-7. Marketplace Rights And Tax

Shopdibz determines the design, content, functionality, availability, and appropriateness of its marketplace, websites, selection, listings, and services. In addition to the General Terms, you agree that prices stated for your products are inclusive of all applicable taxes unless otherwise provided in program policy or agreed in writing.

The agreement further defines Shopdibz Refund Policies, Estimated Ship Date, Refund Administration Fee, Required Product Information, Seller-Fulfilled Products, Selling on Shopdibz Launch Date, Shipment Information, Street Date, URL Marks, and the selling-specific meaning of Your Transaction.

The Shopdibz Advertising Service Terms govern your use of Shopdibz Advertising. If there is any conflict between the General Terms or Program Policies and the Shopdibz Advertising Agreement with respect to the ad services, the advertising agreement prevails to the extent of the conflict.
